Aventis considers trade sale as most
value-enhancing option
Aventis and Schering AG agreed and announced today that for
the weeks to come the negotiation process concerning the
potential divestment of Aventis CropScience will be continued
exclusively with Bayer AG.
Aventis holds a 76 percent interest in the crop protection and
production business, while Schering AG, Berlin, holds 24
percent. In November 2000, Aventis announced its intention to
divest Aventis CropScience by the end of 2001 in order to focus
on its pharmaceutical business. After reviewing different
divestment options, Aventis has now decided on a trade sale,
which it considers the most value-enhancing option. After
analyzing first bids from several companies, Bayer has emerged
as the most-promising partner - financially and socially.
The decision to continue the negotiations exclusively with Bayer
AG does not constitute any legally binding agreement between the
involved companies. As the negotiations evolve, all legally
required information and consultation procedures with the
relevant employee representative bodies as well as with the
relevant corporate governance bodies and external authorities
will be adhered to. The implementation of any disposition of
CropScience by Aventis is subject to negotiation and execution
of a definitive agreement and receipt of all applicable
regulatory approvals.

Aventis considère la cession comme l’option la plus créatrice de

Aventis et Schering AG annoncent aujourd’hui leur intention de
poursuivre pour les semaines à venir les négociations concernant
la cession d’Aventis CropScience en exclusivité avec Bayer AG.
Aventis détient 76% des actions de l’entreprise de production et
de protection des cultures, et Schering AG 24%. En novembre de
l’année dernière, Aventis avait annoncé son intention de céder
CropScience avant la fin de l’année 2001, pour se recentrer sur
la Pharmacie. Après avoir étudié les différentes options,
Aventis a finalement retenu la cession comme l’option la plus
créatrice de valeur. Après étude des offres des différents
candidats à la reprise, Bayer apparaît comme le partenaire le
plus promettant, autant sous un point de vue financier que
social.
L’intention de poursuivre les
négociations en exclusivité avec Bayer AG n’a pas valeur
d’accord liant les deux parties. Les parties se conformeront,
lors de la poursuite des négociations, à toutes les procédures
d’information et de consultation prévues avec les instances
sociales représentatives, avec les instances de gouvernance de
l’ entreprise, avec les administrations et toute autorité
concernée. La réalisation effective de la vente de CropScience
par Aventis est soumise à la négociation et à la conclusion d’un
accord définitif ainsi qu’à l’obtention de toutes les
autorisations règlementaires nécessaires.

Wochen die Verhandlungen über
einen möglichen Verkauf von Aventis CropScience exklusiv mit der
Bayer AG, Leverkusen, fortführen. Aventis hält 76 Prozent an dem
Unternehmen für Pflanzenschutz und Pflanzenproduktion, die
Schering AG hält die restlichen 24 Prozent. Im November 2000
hatte Aventis angekündigt, Aventis CropScience bis zum Ende des
Jahres 2001 abgeben zu wollen, um sich vollständig auf das
Pharmageschäft zu konzentrieren. Nach der Prüfung der
verschiedenen
Möglichkeiten, hat sich Aventis nun für den Verkauf als
werthaltigste Option entschieden. Aus der Analyse der
vorliegenden ersten Angebote verschiedener Unternehmen ging
Bayer als geeigneter Partner für weitere Verhandlungen hervor –
mit Blick auf finanzielle als auch soziale Aspekte.
Die Entscheidung, die Verhandlungen exklusiv mit Bayer weiter zu
führen, führt zu keiner rechtlich bindenden Vereinbarung
zwischen den beteiligten Unternehmen. Entsprechend dem Fortgang
der Gespräche werden alle erforderlichen Informations- und
Beratungsverfahren mit den Arbeitnehmervertretungen wie auch den
internen und externen Aufsichtsgremien stattfinden. Die
endgültige Veräußerung von Aventis CropScience bedarf der
Verhandlung eines abschließenden Vertrages und der Genehmigung
der zuständigen Behörden.
