Syngenta has completed the share repurchases authorized by
the Annual General Meeting on 19 April, 2006. The authorization
allowed for the repurchase of up to 10 percent of outstanding
shares over three years.
The total number of shares repurchased between 1 January, 2006
and 30 December, 2008 was 9,443,734. This number comprises
3,280,293 shares repurchased in 2006 through the issuance of
tradable put options and 6,163,441 shares repurchased in 2007
and 2008 through a second trading line on SWX Europe.
The total number of shares repurchased represents 9.08% of
outstanding shares at the time of authorization and a total
amount of $1.95 billion. The number of shares repurchased in
2008 was 2,315,031 for an amount of $592 million. At the next
AGM these shares will be proposed for cancellation in 2009.

Rachat d’actions de Syngenta: compte rendu de fin d’année
Syngenta vient d’achever ses
rachats d’actions approuvés par l’Assemblée générale annuelle du
19 avril 2006. Cette autorisation permettait le rachat de 10% au
maximum des actions en circulation, sur une période de trois
ans.
Le nombre total d’actions rachetées entre le 1er janvier 2006 et
le 30 décembre 2008 s’est élevé à 9'443'734, dont 3'280’293
rachetées en 2006 par émission d’options «put» négociables et
6'163’441 rachetées en 2007 et 2008 par le biais d’une seconde
ligne de négoce à la SWX Europe.
L’ensemble de ces rachats représente la somme de 1,95 milliard
de dollars, soit 9,08% des actions en circulation au moment de
l’autorisation. En 2008, le nombre d’actions rachetées s’est
élevé à 2'315’031 actions totalisant 592 millions de dollars.
Lors de la prochaine Assemblée générale annuelle, il sera
proposé d’annuler ces actions en 2009.

Syngenta hat die durch die
Generalversammlung am 19. April 2006 genehmigten Aktienrückkäufe
nunmehr abgeschlossen. Damals hatten die Aktionäre einen
Beschluss zum Rückkauf von bis zu 10 Prozent der in Umlauf
befindlichen Aktien über einen Zeitraum von drei Jahren gefasst.
Insgesamt wurden zwischen 1. Januar 2006 und 30. Dezember 2008
9.443.734 Aktien zurückgekauft. Diese Zahl beinhaltet 3.280.293
Aktien, die 2006 durch die Emission handelbarer
Verkaufsoptionen, sowie 6.163.441 Aktien, die in den Jahren 2007
und 2008 über eine zweite Handelslinie an der SWX Europe
zurückgekauft wurden.
Insgesamt wurden 9,08% der zum Zeitpunkt der Genehmigung in
Umlauf befindlichen Aktien von Syngenta mit einem Gesamtwert von
USD 1,95 Milliarden zurückgekauft. Die Zahl der 2008
zurückgekauften Aktien beträgt 2.315.031 im Wert von USD 592
Millionen. An der nächsten Generalversammlung wird ein Antrag
auf eine Kapitalherabsetzung im Umfang der zurückgekauften
Aktien und die Vernichtung der Aktien im Jahr 2009 gestellt
werden. |
