DuPont and Syngenta today announced in Chicago, Illinois the formation of a joint venture and licensing
agreements that will bring expanded choice to North American farmers through broader access to the
companies’ proprietary corn and soybean genetics and biotechnology traits.

Syngenta Seeds, Inc. and DuPont subsidiary Pioneer Hi-Bred International, Inc. will form the seed industry’s
first 50/50 joint venture to out-license genetics to U.S. and Canadian seed companies, with potential to
expand worldwide.

The two companies also agree to cross-license certain corn and soybean traits that each company will
market independently under their own seed brands. The agreement includes rights for Syngenta to market
the new Optimum™ GAT™ herbicide tolerant trait developed by DuPont.

“This is outstanding news for growers and the seed industry because it will make available a new and unique
pool of corn and soybean traits and genetics from both companies’ research efforts. As a result, North
American growers will have access to broader product choices and technologies,” said Mike Mack, Chief
Operating Officer of Syngenta Seeds.

The joint venture, GreenLeaf Genetics LLC, will offer corn and soybean breeding material from both DuPont
and Syngenta. It will also facilitate the licensing of biotech traits by both companies. While Syngenta
originally launched GreenLeaf Genetics as a traits and genetics licensing business in 2004, DuPont will, for
the first time, provide other seed companies targeted access to the world’s largest plant genetics library at
Pioneer.

“The joint venture and the licensing agreements bring together the strength of two industry leaders to deliver
new technologies to the market more quickly,” said Dean Oestreich, DuPont vice president, general manager
and Pioneer president. “We are excited about making the results of our research investments in both
genetics and traits available to more farmers, sooner.”

GreenLeaf Genetics will be based in Omaha, Nebraska, and led by Ron Wulfkuhle, the current head of
Syngenta’s GreenLeaf Genetics business. “We are ready to coordinate access to all the inbred lines, hybrids
and traits needed for customers to feed their own breeding programs”, Wulfkuhle said.

Through the cross-license agreements:

• Syngenta receives a global license to the Optimum™ GAT™ trait, a DuPont proprietary glyphosate and ALS chemistry tolerant trait for both soybeans and corn to be marketed in conjunction with its Agrisure™ brand of traits. The new trait will give farmers expanded weed control options and help optimize yield. U.S. registration for the Optimum™ GAT™ trait is expected as early as 2009.
• DuPont receives a global license to Syngenta’s insect resistance technology for European corn borer, corn rootworm and broad lepidopteran control as it develops the next generation of insect traits.

This is the second business agreement announced this year between Syngenta and DuPont agriculture businesses. In February, the two companies announced an agreement to broaden each company’s crop protection product offer. Syngenta acquired an exclusive worldwide license to develop DuPont’s new insecticide Rynaxypyr™ in mixtures with its own leading insect control products. DuPont Crop Protection acquired worldwide rights to Syngenta’s strobilurin fungicide picoxystrobin, sold as Acanto®, including access to companion products used in mixtures.

DuPont und Syngenta bilden Joint-Venture zur Lizenzierung von Saatgut-Genen und biotechnologischen Traits

DuPont und Syngenta haben heute in Chicago die Bildung eines Joint-Venture bekannt gegeben, das den nordamerikanischen Landswirten durch einen breiteren Zugriff auf die Mais- und Sojabohnengene und biotechnologischen Traits beider Unternehmen ein reichhaltigeres Angebot sichern wird.

Syngenta und Pioneer Hi-Bred International, Inc., eine Tochtergesellschaft von DuPont, werden das erste 50/50-Joint-Venture der Saatgutindustrie ins Leben rufen, über das Gene an USamerikanische und kanadische Saatguthersteller lizenziert werden sollen. Eine spätere weltweite Ausweitung wird nicht ausgeschlossen.

Die beiden Unternehmen haben darüber hinaus vereinbart, sich gegenseitig Lizenzen für bestimmte Mais- und Sojabohnen-Traits zu erteilen, die das jeweilige Unternehmen dann unabhängig unter seinen eigenen Saatgutmarken vermarkten wird. Nach der Vereinbarung wird Syngenta auch den neuen, von DuPont entwickelten Herbizid-toleranten Trait Optimum™ GAT™ vermarkten können.

Das neue Joint-Venture, GreenLeaf Genetics LLC, wird Mais- und Sojabohnen-Zuchtmaterial sowohl von DuPont als auch von Syngenta anbieten. Ausserdem wird es die Lizenzierung biotechnologischer Traits der beiden Unternehmen vereinfachen. Nachdem Syngenta GreenLeaf Genetics im Jahr 2004 ursprünglich als Unternehmen zur Lizenzierung von Traits und Genen gegründet hatte, wird DuPont nun – und dies erstmals – anderen Saatgutherstellern den gezielten Zugang zur weltweit grössten Pflanzengen-Bibliothek bei Pioneer ermöglichen.

GreenLeaf Genetics wird seinen Sitz in Omaha, Nebraska, in den USA haben und von Ron Wulfkuhle geleitet werden, der zurzeit bei Syngenta für GreenLeaf Genetics verantwortlich ist. „Wir können sofort den Zugriff auf alle Vererbungslinien, Hybride und Traits koordinieren, die unsere Kunden brauchen, um ihre eigenen Zuchtprogramme zu versorgen“, so Wulfkuhle.

Inhalt der Lizenzvereinbarungen:

• Syngenta erhält eine weltweite Lizenz für Optimum™ GAT™, einem von DuPont entwickelten Glyphosat- und ALS-toleranten Trait für Sojabohnen und Mais, der in Verbindung mit der Trait-Marke Agrisure™ des Unternehmens vermarktet werden wird. Die volle US-Zulassung des Traits Optimum™ GAT™ in beiden Pflanzen wird schon für 2009 erwartet.
• DuPont wird bei der Entwicklung der nächsten Generation von Insekten-resistenten Traits eine weltweite Lizenz für die von Syngenta entwickelte Insektenresistenz- Technologie erhalten, die gegen den europäischen Maiszünsler, den Maiswurzelwurm und breitbandig gegen Lepidoptera-Schädlinge wirkt.

Diese Vereinbarung ist bereits die zweite, die die Agrounternehmen Syngenta und DuPont in diesem Jahr schliessen. Im Februar haben sie eine Vereinbarung zur Vergrösserung der Produktpaletten beider Unternehmen im Bereich Pflanzenschutz bekannt gegeben. Im Rahmen dieser Vereinbarung erhielt Syngenta eine weltweite Exklusivlizenz für die Entwicklung des neuen Insektizids Rynaxypyr™ von DuPont in Mischungen mit seinen eigenen führenden Insektenbekämpfungsprodukten. DuPont Crop Protection erhielt weltweite Rechte an Syngentas Strobilurin-Fungizid Picoxystrobin, das unter dem Markennamen Acanto® vertrieben wird. Hierunter fällt auch der Zugang zu Begleitprodukten in Mischungen.

DuPont et Syngenta créent une co-entreprise pour la concession sous licence de matériel génétique et de caractères biotechnologiques dans le domaine des semences

DuPont et Syngenta ont annoncé aujourd'hui à Chicago la formation d’une co-entreprise et d’accords de licence élargissant l’offre faite aux agriculteurs nord-américains en leur donnant accès aux caractères biotechnologiques et au matériel génétique développés par les deux entreprises dans le domaine du maïs et du soja.

Syngenta Seeds, Inc. et Pioneer Hi-Bred International, Inc., filiale de DuPont, donneront ainsi naissance à la première co-entreprise à parts égales de l'industrie semencière pour la concession sous licence de matériel génétique aux semenciers américains et canadiens. Cette initiative pourrait s’étendre au monde entier.

Les deux entreprises conviennent aussi de se concéder mutuellement sous licence certains caractères biotechnologiques du maïs et du soja, qu’elles commercialiseront indépendamment sous leurs propres marques de semences. Cet accord donne à Syngenta le droit de commercialiser Optimum™ GAT™, nouveau caractère biotechnologique résistant aux herbicides développé par Dupont.

«Cet accord est une formidable nouvelle pour les agriculteurs et semenciers, leur permettant d'accéder à une base unique de caractères et de matériels génétiques développés par les deux entreprises dans le domaine du maïs et du soja. Grâce à cet accord, les agriculteurs nordaméricains auront accès à un plus vaste éventail de produits et de technologies», a déclaré Mike Mack, Chief Operating Officer de Syngenta Seeds.

Cette co-entreprise, GreenLeaf Genetics LLC, proposera du matériel de sélection génétique développé par les deux sociétés dans le domaine du maïs et du soja. Cela facilitera également la concession sous licence de caractères biotechnologiques par les deux entreprises. GreenLeaf Genetics sera basée à Omaha, Nebraska, et dirigée par Ron Wulfkuhle, actuellement directeur de GreenLeaf Genetics chez Syngenta. «Nous sommes aujourd’hui en mesure de coordonner l’accès aux variétés hybrides et aux caractères biotechnologiques dont nos clients ont besoin pour alimenter leurs propres programmes de sélection», a déclaré Ron Wulfkuhle.

Selon les accords de licence croisés :

• Syngenta obtient une licence globale pour Optimum™ GAT™, caractère biotechnologique du soja et du maïs résistant au glyphosate et aux inhibiteurs d'ALS, développé par Dupont. Ce caractère, qui apportera aux agriculteurs un meilleur contrôle des mauvaises herbes et une optimisation des rendements, sera commercialisé avec la gamme de caractères biotechnologiques Agrisure™. L'homologation d’Optimum™ GAT™ aux Etats-Unis est prévue dès 2009.
• DuPont obtient une licence globale pour technologie de résistance aux insectes développée par Syngenta pour la pyrale du maïs, la chrysomèle des racines de maïs et plus généralement, pour le contrôle des lépidoptères, alors que la société développe la prochaine génération de caractères de protection contre les insectes.

Cet accord est le deuxième de l'année entre Syngenta et DuPont. En février dernier, les deux sociétés annonçaient un accord destiné à élargir leurs gammes respectives de produits de protection des cultures. Syngenta a obtenu une licence exclusive et mondiale pour développer l'utilisation de nouvel insecticide de DuPont, Rynaxypyr™, en combinaison avec ses propres insecticides. DuPont Crop Protection a obtenu des droits mondiaux relatifs à la picoxystrobine, un fongicide de Syngenta appartenant à la famille des strobilurines et commercialisé sous la marque Acanto®. Ces droits portent également sur les produits d'accompagnement utilisés pour les mélanges.
