At the third Annual General Meeting of Syngenta AG in Basel, shareholders approved all the motions proposed by the Board of Directors. The 847 shareholders represented 25.9% of the total shares issued.

The intention of the Board to return more than $800 million to shareholders over the next three years was supported. Shareholders approved a doubling of the dividend to CHF 1.70, to be paid by way of a reduction of the nominal value of shares. In addition, the shareholders authorized the Board to purchase up to 10 per cent of the total share capital, allowing for the commencement of the share repurchase program announced in February.

Rupert Gasser, Heinz Imhof and Michael Pragnell were re-elected to the Board each for a three-year term of office. Sir David Barnes has decided not to stand for re-election, having reached the age of 68. Sir David has played an important role in the creation of Syngenta and during the integration phase. His successor will be proposed for election at the Annual General Meeting 2005.

At the meeting, the annual and financial reports for 2003 were approved. Ernst & Young AG were re-elected as Group Auditors of Syngenta.

Generalversammlung von Syngenta

Anlässlich der dritten Generalversammlung der Syngenta AG in Basel genehmigten die Aktionäre alle vom Verwaltungsrat eingebrachten Vorschläge. Die 847 Aktionäre repräsentierten 25,9 % der insgesamt ausgegebenen Aktien.

Die Absicht des Verwaltungsrates, im Verlauf der nächsten drei Jahre über USD 800 Millionen an die Aktionäre auszuschütten, wurde unterstützt. Die Aktionäre genehmigten eine Verdoppelung der Dividende auf CHF 1,70; sie wird über eine Verringerung des Aktiennennwerts ausbezahlt. Ausserdem bevollmächtigten die Aktionäre den Verwaltungsrat zum Kauf von bis zu 10 Prozent des gesamten Syngenta-Aktienkapitals und ermöglichten somit den Beginn des im Februar bekannt gegebenen Aktienrückkaufprogramms.

Rupert Gasser, Heinz Imhof und Michael Pragnell wurden für eine jeweils dreijährige Amtszeit in den Verwaltungsrat wiedergewählt. Sir David Barnes entschied sich auf Grund seines Alters von 68 Jahren, auf eine neuerliche Kandidatur zu verzichten. Sir David hat bei der Gründung von Syngenta und während der gesamten Integrationsphase eine bedeutende Rolle gespielt. Sein Nachfolger wird anlässlich der Generalversammlung 2005 zur Wahl vorgeschlagen.

An der Versammlung wurden auch der Jahresbericht und der Finanzbericht für das Geschäftsjahr 2003 genehmigt. Ernst & Young AG wurden als Revisoren der Syngenta-Gruppe wiedergewählt.

Syngenta tient son Assemblée générale annuelle

Lors de la troisième Assemblée générale annuelle de Syngenta SA à Bâle, les actionnaires ont approuvé toutes les propositions qui leur ont été soumises par le Conseil d’administration. Les 847 actionnaires présents représentaient 25,9 % du total des actions émises.

Les actionnaires ont soutenu le projet du Conseil d’administration de restituer plus de USD 800 millions aux actionnaires au cours des trois prochaines années. Ils ont approuvé un doublement du dividende à CHF 1,70 qui sera réalisé sous la forme d’une réduction de la valeur nominale des titres. Par ailleurs, les actionnaires ont autorisé le Conseil d’administration à racheter jusqu’à 10 % du capital, donnant ainsi le coup d’envoi au programme de rachat de titres annoncé en février.

Rupert Gasser, Heinz Imhof et Michael Pragnell ont été réélus au Conseil d’administration pour trois ans. Sir David Barnes a décidé de ne pas se représenter car il a atteint l’âge de 68 ans. Sir David a joué un rôle majeur dans la création de Syngenta et lors de la phase d’intégration. Son successeur sera présenté au vote des actionnaires lors de l’Assemblée générale annuelle de 2005.

Lors de cette même Assemblée, les rapports annuel et financier 2003 ont été approuvés. Ernst & Young SA a été reconduite comme réviseur du groupe Syngenta.
