July 29, 1999Dow AgroSciences today announced its affiliate, Mycogen
Crop Protection Inc., has entered into an agreement to sell Soilserv, Inc. to the Wilbur-Ellis Company. Terms of the agreement are
confidential.
Soilserv, Inc., founded in 1945, is a premier provider of customized crop protection
services, from
planting to harvest for growers of high value crops, operating principally in the Salinas
Valley,
California. The Salinas Valley is the top vegetable producing area in the United States.
Brayton Wilbur, president and CEO of Wilbur-Ellis Company, said, "We are most

be joining forces with Soilserv, its excellent management, sales and technical support
staffs, in order to expand our business presence throughout the Salinas Valley and in the
Yuma, Arizona and Imperial Valley markets.

Mycogen Corporation acquired Soilserv from Griffin Corporation in 1991. Ownership of
Soilserv
was subsequently transferred to Mycogen Crop Protection, Inc., a wholly owned subsidiary
of
Mycogen Corporation. Mycogen Corporation is a wholly owned subsidiary of The Dow Chemical
Company, and is affiliated with Dow AgroSciences, LLC.
