Realignment targets strategic market segments /
Research and Development functions strengthened
Bayer CropScience
is bringing its business structure more closely into alignment
with the strategic market segments. Effective April 1, 2006, the
organization will be structured into six Business Operations
units and a Business & Global Marketing Platform with global
responsibility. The objective of this further development of the
organization is to create more efficient structures, to further
improve the international positioning of the Bayer subgroup, and
to enhance competitiveness.
“The new
organizational structure will enable us to adapt our business
even more to the needs of the market and our customers and at
the same time to exploit further potential for synergies. We are
creating an important foundation for enhancing our
competitiveness and profitability in the future,” explained
Prof. Friedrich Berschauer, Chairman of the Bayer CropScience
Board of Management.
With a view to take the organization forward, the operating
business will be managed directly by six Business Operations
units. Four of them will manage the regional crop protection
business. In addition to the two existing regions – Asia Pacific
and Europe & TAMECIS (Turkey, Africa, Middle East) – North
America and Latin America will emerge from the former Americas
region to function as independent Business Operations units. The
two new units will be headquartered in Research Triangle Park,
North Carolina, USA, and in São Paulo, Brazil, respectively.
This new organization reflects the great importance of
agriculture and the market dynamics in both parts of the
American continent and brings the organization of Bayer
CropScience more firmly into line with local customer
requirements. The four regional Business Operations units will
be joined by two units responsible for Environmental Science and
BioScience, both of which headquartered in Lyon.
The new Business & Global Marketing Platform brings together the
central corporate functions Portfolio Management, Industrial
Operations, Research, Development, Business Planning &
Administration, Human Resources and Communication. Portfolio
Management determines in agreement with the Business Operations
units the strategic orientation of Crop Protection activities,
Environmental Science and BioScience. Berschauer commented: “The
bundling of these functions to create an integrated Business &
Global Marketing Platform for the entire company will speed up
our decision-making processes and make them more focused, it
will also enable us to exploit potential synergies between our
business areas, for example through better coordination of
strategies between BioScience and Crop Protection.”
Company management changes
There will also be changes to the company management when the
new organizational structure comes into effect on April 1, 2006.
The new Board of Management of Bayer CropScience AG headed by
Prof. Friedrich Berschauer will comprise the heads of Portfolio
Management (Dr. Rüdiger Scheitza), Industrial Operations (Dr.
Wolfgang Welter) and Business Planning & Administration (Dr.
Dirk Suwelack).
At the same time, the heads of Research and Development will
join the company’s Executive Committee in order to strenghten
innovation management. Against this background, Bayer
CropScience has appointed Dr. Alexander Klausener (Head of
Research) and Dr. Franz-Josef Placke (Head of Development)
effective April 1, 2006. On the same date, Dr. Bernward
Garthoff, formerly responsible for both functions on the Board
of Management, will retire from active service with Bayer
CropScience after many years with the company. He will continue
his association work on behalf of the Bayer Group.
Bayer CropScience has also appointed William Buckner, currently
responsible for the subgroup’s business in the USA, to head the
new Business Operations unit Crop Protection North America
effective April 1, 2006. Marc Reichardt, currently Head of Bayer
CropScience Brazil and the Mercosur region, will become Head of
the new Latin America Business Operations unit on the same date.
Buckner and Reichardt will both be members of the Bayer
CropScience Executive Committee. Dr. Esmail Zirakparvar, Head of
the former Americas region, will retire after many years of
active service with the company when the new organization comes
into effect.
Lykele van der Broek, previously Head of BioScience, will take
on new responsibilities in the Bayer Group effective April 1,
2006. On the same date, David Morgan, currently Head of
Agricultural Seeds, will become head of the Business Operations
unit BioScience; he will also be a member of the Executive
Committee.

Bayer CropScience will seine Geschäftsstruktur noch gezielter
auf die strategischen Marktsegmente ausrichten. Dazu wird die
Organisation zum 1. April 2006 in sechs Business
Operations-Einheiten sowie eine Business & Global
Marketing-Plattform mit globaler Verantwortung gegliedert. Ziel
dieser Maßnahme ist, effizientere Strukturen zu schaffen, die
internationale Aufstellung des Bayer-Teilkonzerns weiter zu
verbessern und die Wettbewerbsfähigkeit zu stärken.
„Die neue Organisationsstruktur versetzt uns in die Lage, unser
Geschäft noch besser an den Anforderungen des Marktes und
unserer Kunden auszurichten und gleichzeitig weitere
Synergiepotenziale zu erschließen. Damit schaffen wir eine
wichtige Voraussetzung zur Steigerung unserer
Wettbewerbsfähigkeit und Profitabilität in der Zukunft“,
erläuterte der Vorstandsvorsitzende von Bayer CropScience, Prof.
Dr. Friedrich Berschauer.
Im Rahmen der Weiterentwicklung der Organisation wird das
operative Geschäft von sechs Business Operations-Einheiten
direkt geführt. Hierzu gehören vier Business
Operations-Einheiten für das regionale Pflanzenschutzgeschäft:
Neben den beiden bestehenden Regionen Asia Pacific und Europe &
TAMECIS (Türkei, Afrika, Mittlerer Osten) treten in Zukunft
Nord- und Lateinamerika als eigenständige Business
Operations-Einheiten, die aus der ehemaligen Region Americas
gebildet werden. Die beiden neuen Einheiten werden ihren Sitz in
Research Triangle Park, North Carolina, USA, und São Paulo,
Brasilien, haben. Mit dieser Neuorganisation trägt Bayer
CropScience der großen Bedeutung der Agrarwirtschaft und der
Dynamik der Märkte in beiden Teilen des Kontinentes Rechnung und
richtet die Organisation stärker auf die Kundenbedürfnisse vor
Ort aus. Zu diesen vier regionalen Business Operations-Einheiten
kommen Business Operations-Einheiten für Environmental Science
und BioScience mit Sitz in Lyon.
Zu der neuen Business & Global Marketing-Plattform gehören die
zentralen Unternehmensfunktionen Portfolio Management,
Industrial Operations, Research, Development, Business Planning
& Administration, Human Resources und Communications. Das
Portfolio-Management legt in Abstimmung mit den Business
Operations-Einheiten die strategische Ausrichtung der Crop
Protection-Bereiche sowie von Environmental Science und
BioScience fest. „Die Bündelung dieser Aufgaben in einer
integrierten Business & Global Marketing-Plattform für das ganze
Unternehmen ermöglicht uns, Entscheidungsprozesse schneller und
zielgerichteter zu gestalten sowie mögliche Synergien zwischen
den Geschäften, z. B. durch die bessere Abstimmung von
Strategien zwischen BioScience und Crop Protection zu
realisieren“, erläuterte Berschauer die neue Aufstellung.
Neue Zusammensetzung der
Unternehmensführung
Im Rahmen der Anpassung der Organisationsstrukturen wird es zum
1. April 2006 zu Veränderungen in der Unternehmensführung
kommen. Dem Vorstand der Bayer CropScience AG unter Leitung von
Prof. Dr. Friedrich Berschauer werden zukünftig nur noch die
Leiter von Portfolio Management (Dr. Rüdiger Scheitza),
Industrial Operations (Dr. Wolfgang Welter) und Business
Planning & Administration (Dr. Dirk Suwelack) angehören.
Gleichzeitig werden zur Stärkung des Innovationsmanagements die
Bereiche Research und Development jeweils mit einem eigenen
Leiter im „Executive Committee“ des Unternehmens vertreten sein.
Dazu hat Bayer CropScience mit Wirkung zum 1. April 2006 Dr.
Alexander Klausener (Research) und Dr. Franz-Josef Placke
(Development) berufen. Dr. Bernward Garthoff, bisher im Vorstand
für beide Bereiche zuständig, wird zum selben Termin nach
langjähriger verdienstvoller Tätigkeit seine aktive Laufbahn bei
Bayer CropScience beenden. Er wird auch weiterhin seine
bisherigen Verbandstätigkeiten für den Bayer-Konzern wahrnehmen.
Im Rahmen der neuen Organisationsstruktur hat Bayer CropScience
ebenfalls William Buckner, zurzeit verantwortlich für das
US-Geschäft, per 1. April 2006 zum Leiter der neuen Business
Operations-Einheit Crop Protection North America benannt. Zum
selben Termin übernimmt Marc Reichardt, aktuell Landesleiter von
Bayer CropScience Brasilien und Leiter der Region Mercosur, die
neu geschaffene Business Operations-Einheit Lateinamerika.
Buckner und Reichardt werden beide Mitglied im „Executive
Committee“ von Bayer CropScience sein. Dr. Esmail Zirakparvar,
Leiter der ehemaligen Region Americas, beendet mit dem
Inkrafttreten der neuen Organisation nach langjähriger
verdienstvoller Tätigkeit seine aktive Laufbahn.
Lykele van der Broek, bisher Leiter des Geschäftsbereichs
BioScience, bereitet sich ab 1. April 2006 auf andere Aufgaben
im Bayer-Konzern vor. Die Leitung der Business
Operations-Einheit BioScience übernimmt zum gleichen Zeitpunkt
David Morgan, zurzeit Leiter Agricultural Seeds, der ebenfalls
Mitglied im „Executive Committee“ wird.

Orientation ciblée sur des segments de marché stratégiques /
renforcement des fonctions Recherche et Développement
Bayer CropScience entend focaliser encore plus sa structure
opérationnelle sur les segments de marché stratégiques.
L’entreprise adoptera à cet effet au 1er avril 2006 une
organisation composée de six entités Business Operations et
d’une plateforme Business & Global Marketing assumant une
responsabilité globale. Cette mesure vise à créer des structures
plus performantes, à continuer à améliorer la position de la
société opérationnelle Bayer à l’international et à renforcer sa
compétitivité.
« Le nouvel organigramme nous permet d’aligner encore mieux
notre activité sur les exigences du marché et de nos clients
tout en mettant en valeur de nouveaux potentiels de synergie. Ce
faisant, nous réalisons une condition essentielle à
l’amélioration de notre compétitivité et de notre rentabilité
futures », a ainsi déclaré le professeur Friedrich Berschauer,
président du directoire de Bayer CropScience.
La restructuration de l’organisation prévoit que l’activité
opérationnelle sera directement conduite par six entités
Business Operations, dont quatre pour l’activité phytosanitaire
au plan régional : outre les deux régions actuelles
(Asie-Pacifique et Europe & TAMECIS – Turquie, Afrique,
Moyen-Orient), les deux régions Amérique du Nord et Amérique
latine, issues de l’ancienne région Amériques, opéreront comme
entités Business Operations autonomes. Les deux nouvelles
entités auront leur siège à Research Triangle Park, en Caroline
du Nord, aux États-Unis, et à São Paulo, au Brésil. Cette
réorganisation traduit l’importance que Bayer CropScience
accorde au secteur agricole et au dynamisme des marchés de ces
deux parties du continent et recentre encore plus l’organisation
sur les besoins des clients au plan local. Outre ces quatre
entités Business Operations régionales, l’organigramme
comprendra également deux entités Business Operations pour
Environmental Science et BioScience, dont le siège se trouve à
Lyon.
La nouvelle plate-forme Business & Global Marketing englobera
les fonctions centrales Portfolio Management, Industrial
Operations, Research, Development, Business Planning &
Administration, Human Resources et Communications. Portfolio
Management fixera l’orientation stratégique des secteurs de Crop
Protection ainsi que d’Environmental Science et de BioScience,
en accord avec les entités Business Operations. M. Berschauer a
expliqué la transformation en ces termes : « En concentrant ces
missions au niveau de l’entreprise tout entière, au sein d’une
plate-forme Business & Global Marketing intégrée, nous pourrons
augmenter la rapidité et la pertinence de nos processus
décisionnels et réaliser les potentiels de synergie existant
entre les différentes activités, notamment par un meilleur
ajustement des stratégies de BioScience et de Crop Protection ».
Remaniement au niveau de
la direction de l’entreprise
La modification des structures d’organisation va entraîner au
1er avril 2006 un remaniement de la direction de l’entreprise.
Le directoire de Bayer CropScience AG, placé sous la direction
du professeur Friedrich Berschauer, ne sera plus composé que des
directeurs de Portfolio Management (Rüdiger Scheitza),
d’Industrial Operations (Wolfgang Welter) et de Business
Planning & Administration (Dirk Suwelack).
Afin de renforcer la gestion de l’innovation, les domaines
Research et Development seront représentés au sein de l’«
Executive Committee » de l’entreprise par leurs directeurs
respectifs. Il s’agira à partir du 1er avril 2006 d’Alexander
Klausener (Research) et de Franz-Josef Placke (Development). M.
Bernward Garthoff, actuellement membre du directoire chargé des
deux domaines, terminera le 31 mars 2006 son activité dans notre
entreprise après de nombreuses années de bons et loyaux
services. Il restera membre des fédérations dans lesquelles il
représente le Groupe Bayer.
Dans le cadre de la réorganisation, Bayer CropScience a
également nommé William Buckner, actuellement responsable de
l’activité aux États-Unis, directeur de la nouvelle entité
Business Operations Crop Protection Amérique du Nord. Marc
Reichardt, actuellement directeur de la région Mercosur et
directeur de Bayer CropScience au Brésil, prendra la direction
de la nouvelle entité Business Operations Amérique latine. MM.
Buckner et Reichardt, qui prendront leurs fonctions le 1er avril
2006, seront membres de l’« Executive Committee » de Bayer
CropScience. Esmail Zirakparvar, directeur de l’ancienne région
Amériques, cessera à l’entrée en vigueur de la nouvelle
organisation son activité dans notre entreprise après de
nombreuses années de bons et loyaux services.
Lykele van der Broek, actuellement directeur de la division
BioScience, se préparera à partir du 1er avril 2006 à assumer de
nouvelles missions au sein du Groupe. David Morgan, actuellement
directeur d’Agricultural Seeds chez BioScience, prendra la
direction de l’entité Business Operations BioScience et
